Even merger has been regulated in the Turkish Commercial Code No. 6762, lack of parallelism between different Codes and contradiction between different regulations restricted M A process and caused many problems in practice. Therefore, many detailed articles have been adopted into the New Turkish Commercial Code from Swiss Mergers and Acquisitions Code and European Union Company Law Third Council Directive 78/855/ECC. In the meantime, the right of squeeze-out and the equalization price have been adopted for the first time in Turkish Law. Briefly, it is possible to mention that with the New Turkish Commercial Code the complicated arrangements of merger are eliminated and incentive regulations have been adopted with protective regulations for the rights of creditors and shareholders.
