Turkish Commercial Code No. 6102 includes provisions about publicly held joint-stock companies and issues rules with regard to public offering which is one of the fundamental concepts of capital markets law. Drawing up such a basic notion in Turkish Commercial Code is a crucial step in order to integrate the corresponding provisions with the rules of Capital Markets Law. On the other hand, the related provisions of Turkish Commercial Code and the concept of public offering in capital markets law are not coherently harmonized. Consequently, considering the system of Turkish Commercial Code and the rules of capital markets law together is a necessity while applying the provisions about public offering.
