Abstract :
Just like the Turkish Commercial Code numbered 6762, the Turkish Commercial Code (TCC) has adopted commercial enterprise as the basic concept. Many concepts have been defined on the basis of commercial enterprises. However, the concept of Group Companies and Undertakings have been regulated in the TCC, which did not exist in the former TCC. Within this framework Dominant Undertaking is considered as the merchant, by way of which a significant difference has emerged. The scope of the concept of Undertaking is broad. The associations without legal entities may be Undertakings. Thus, a quite different group of merchants have arisen. This, it is of great importance in terms of the consequences of being a merchant. In this article primarily, the concepts of Undertaking, commercial enterprises and merchant are compared. Later, who and how may be the dominant undertaking in group of companies are evaluated. Finally, the consequences of dominated enterprises being merchant are examined. The consequences of being merchant are considered one by one and it is evaluated whether it will be applicable to the dominant Undertaking.
