The research tries to define the nature of high-tech enterprise and provide theoretical reasons for how to select its governance mechanism using the theory of contract. The research concludes that the contract of high-tech enterprise is a special contract based on human capital for the reason of the special function of human capital if using the main aspect of the contract to represent the essence of the contract. However, this special contact is highly incomplete, the governance mechanism based-on Game Theory is state-contingence.
