After careful and considered review of the content of this paper by a duly constituted expert committee, this paper has been found to be in violation of IEEE´s Publication Principles.
We hereby retract the content of this paper. Reasonable effort should be made to remove all past references to this paper.

This paper examines the relationship between corporate governance and institutional environment. We show that the level of corporate governance that a company chooses is determined by the institutional environment. Whether corporate governance is substitute or outcome to institutional environment depends on the level of latter. Further, different dimensions of corporate governance may show different relationships.
