Repatriates is knowledge assets in overseas operating company, effective knowledge transfer incentive to repatriates is becoming company´s competition advantage. This paper established theoretic model of repatriates knowledge transfer incentive mechanism based on game theory, and pointed out that knowledge transfer was a process of repeated game between the repatriates and the parent company employees, the building of effective knowledge transfer incentive was reaching the equilibrium of the game, it provided theoretic basis and relative suggestion for promoting repatriates knowledge transfer.
