Entrepreneur as a special human capital has particular value unlike the general labour; The managers sensiblly “retake” the value createded in the past which should belong to themselves through MBO. This paper arguments that MBO can be benefit to incentive of salary and the reform of assignation, and can be benefit to the reform of property rights circumfusing human capital.
