Abstract :
Corporate governance structure is the configuration mechanism between shareholders, creditors, employees and other stakeholders in the right company. There may be some convergence and mutual influence between CSR and corporate governance, especially in the west. An effective corporate governance system will prevents the occurrence of illegal actions which damage the interests of those stakeholders, while an effective corporate social responsibility statute helps to avoid those who are legitimate but not the appropriate action. However, under the imperfect governance structure and external environment in China, corporate governance had a unilateral effects on CSR. Governance structures under various social contractual environment determine the main content of corporate social responsibility and then change the behavior of corporate. Companies will improve the response process and policies through the study of social responsibility and adjust their behaviors. More importantly, based on the degree of overlapping between social expectations and Community responding, the paper analyzes how companies improve their efficiency of responding process through continuous learning.
