  • Abstract
    In recent years, increasingly attention to Corporate Social Responsibility(CSR) incurred the suspicious of "maximized profits of Shareholders". Companies must be responsible for the stakeholders, this is a realistic question. However, undertaking social responsibility will affect the operating target, and then if this can affect corporate governance has become focus and aroused much attention, this question has been verified by quantities of studies, then, if we can take CSR as a corporate governance mechanism? Is CSR a internal or external governance mechanism? There is no conclusion, and the studies are very limited. However, this article analysis the relationship between CSR and corporate governance, and we think that integrating CSR and corporate governance is the realistic way companies can choice, only through corporate governance, CSR can become true and be practical. China has its own special characteristics on equity structure ,and the capital is imperfect, So this article has a positive sense for constructing the Chinese harmonious society, and promoting the Chinese companies undertaking CSR and completing corporate governance.
