Abstract
The research on corporate governance is being developed from reducing agency cost to playing incentive mechanism. Being different from the western, the Chinese corporations were born out of the planned economic system, and the modern corporate system with the Chinese characteristics is still being established, explored and completed. According to the related theories and literatures, incentive mechanism of corporate governance, as an institutional factor, plays an important role in the corporation innovation and development. Taking the Chinese listed companies as samples, this paper investigates the development and present status of the management incentive mechanism of the Chinese companies. And based on the theories, literatures and research trend about incentive mechanism of corporate governance, this paper puts forward some proposals for the future research on how to improve the management incentive mechanism of the Chinese companies.
