The issue of the top management motivation has been a hot topic in the fields of business administration and company governance in recent years. Under the intense competition of the market, the motivation of the top managers has become extremely important to maintain the durable competence and the long-term development of the company. At present, state-owned enterprises are facing an uncommon developing period. Reform and innovation and the foundation of modern enterprise system raise a harder requirement to the top management. To exert the leading function of them, motivation to them must be enforced. Therefore, it is necessary to make a change of motivation mechanism and motivation mode. State-owned companies are a special enterprise group. The efficient motivation to the management of state-owned companies should combine the characteristics of the company. The paper discusses the issue of the motivation mechanism through the case of JCB company and put forward a set of top-management motivation mechanism solutions, including the financial ones and the non-financial ones, based on the relevant theories of motivation systems and the concerning researches of scholars. The dynamic equity ownership system is deeply discussed and researched, and some researches and designs are made on the non-financial motivation methods such as career life motivation.
