در كنار سهام عادي كه مهم‌ ترين منبع تأمين مالي شركت‌ هاي سهامي عام و خاص است، گونه اي كمتر شناخته شده از سهام وجود دارد كه سهام ممتاز ناميده مي شود. آنچه اين دو گونه از سرمايه را از هم جدا مي كند، امتيازات و ويژگي‌هايي است كه به سهام ممتاز داده مي شوند و سهام عادي از آنها برخوردار نيست. با آنكه اين امتيازها بسيار گسترده و گوناگون هستند، امروزه، چنين سهمي ابزاري مناسب براي سرمايه گذاري در شركت هاي پر ريسك يا نو پا و همچنين شركت‌ هايي است كه با بحران مالي مواجه هستند و سرمايه‌ گذاران به صورت عادي و بدون دريافت امتيازات خاص براي خود حاضر به سرمايه‌ گذاري در آنها نخواهند شد. قانونگذار ايران، در تبصره 2 ماده 24 لايحه قانون تجارت، به تعريف سهام ممتاز بسنده نموده و سخني از چيستي امتيازات و شيوه اعمال آنها نگفته است. در اين نوشتار توصيفي-تحليلي نويسندگان، تلاش كرده اند تا پس از بررسي چيستي و گونه شناسي سهام ممتاز در كشورهاي پيشرو، راهكارهايي براي بهبود قانونگذاري يا رويه قضايي در اين زمينه پيشنهاد دهند.

In this descriptive and analytical study, the authors have attempted to study the nature and typology of preferred stock in pioneer countries and then, suggest strategies in order to improve the legislation or jurisprudence in this field.
