حق جايگزيني در تامين مالي پروژه محور ‌ از مهمترين حقوق وام‌دهندگان است. مساله اساسي كه در اين پژوهش با آن مواجه هستيم ،چيستي و چگونگي اعمال اين حق با تاكيد بر حقوق ايران است است. عليرغم اهميت اين موضوع و لزوم توجه به آن در پژوهش و قانونگذاري، تشريح زواياي اين حق مغفول مانده و در خصوص حق جايگزيني تاكنون مقاله يا كتابي به زبان فارسي نوشته نشده است. از اين‌ رو مقاله حاضر مي‌تواند گشاينده بابي در اين زمينه باشد. در اين نوشتار با مطالعه قراردادهاي منعقده ،كتب و مقالات داخلي و خارجي به روش تحليلي به اين نتيجه دست يافته شد كه حق جايگزيني با هيچ يك از نهادهاي مشابه داخلي مانند تبديل تعهد، انتقال دين و ضمان تطابق كامل ندارد و استفاده از اين قالبها براي بيان حق جايگزيني مناسب نيست. تنقيح ماهيت حق جايگزين ميتواند كمك شاياني به طرفين قراردادهاي سرمايه گذاري بخصوص مشاركت عمومي خصوصي بكند.
