جستاري شايسته در قوانين حكايت از وجود حقي به نام حق تقدم دارد. حق تقدم امتياز و توانايي يك شخص است كه به موجب آن اختيار مي يابد پيش تر از سايرين عملي را انجام دهد يا از امتيازي برخوردار گردد. يكي از مصاديق اين حق، حق تقدم سهامداران شركت هاي سهامي مندرج در ماده 166 لايحه اصلاحي قانون تجارت مصوب 1347 مي باشد كه بعد از افزايش سرمايه، سهامداران را درگير خود مي كند. با اين حال، كمتر به اين موضوع پرداخته شده كه آيا مي توان از اين حق به عنوان يك حق خاص همانند ساير حقوق شناخته شده ديگر ياد كرد و با شناسايي اركان و جايگاه آن در ميان حقوق مختلف شخص به اوصاف آن از نظر حق عيني يا ديني بودن، قابليت انتقال، امكان توثيق و بازداشت آن دست يافت؟ مبنا، شيوه اجرا و آثار اين حق براي سهامداران چه مي باشد؟ در اين مقاله به بررسي اين موارد پرداخته مي شود.
