بررسي تأثير ويژگي هاي هيأت مديره بر اعمال غير قانوني شركت( شواهدي از بورس اوراق بهادار تهران)

Effect of Board Characteristics on Corporate Illegality (Evidence from Tehran Stock Exchange)

امروزه يكي از مهم ترين علل اثربخشي هيات مديره ها را بايد در تركيب آنان و ويژگي هاي منتسب به آن شامل اندازه، استقلال اعضاء، تعداد عضويت اعضاء در ساير تيم ها، ساختار جنسيتي تركيب هيات مديره، متوسط سني تركيب و مواردي از اين قبيل جستجو نمود. هدف از انجام اين پژوهش بررسي تأثير ويژگي هاي هيأت مديره بر اعمال غير قانوني شركت است. داده هاي آماري بين سال هاي 1390 تا 1395 از بين شركت هاي پذيرفته شده در بورس اوراق بهادار تهران انتخاب گرديده است. ويژگي هاي هيأت مديره و اعمال غير قانوني شركت از متغيرهاي اين پژوهش محسوب مي شوند. نمونه آماري به روش سيستماتيك از بين كليه شركتهاي عضو بورس تهران ، به تعداد 21 شركت انتخاب شده است. روش پژوهش توصيفي- همبستگي بوده و داده هاي پژوهش از نوع تاريخي با مراجعه به صورت هاي مالي و گزارشات شركتها استخراج و نيز تحليل آماري توسط نرم افزار ايويوز نسخه 9 و با استفاده از مدل لجستيك انجام گرفته است. نتايج پژوهش نشان مي دهد كه ويژگي هاي هيأت مديره شركت بر اعمال غير قانوني شركت تأثير معناداري دارد.

Today, one of the most important reasons for the effectiveness of the board of directors should be their composition and attributes such as size, independence of members, number of members in other teams, gender structure of the composition of the board, the average age of the combination, and such cases. The purpose of this research is to investigate the impact of the Board of Directors on the unlawful actions of the company. statistical data between 2011 and 2016 are among the companies listed in tehran stock exchange. The board's features and illegal actions of the company are considered as the variables of this research. statistical sample of the systematic method of all companies in tehran stock exchange The number of 21 companies has been selected. The research method was descriptive-correlational and historical data were extracted from financial reports and corporate reports, finally, the statistical analysis was carried out by Eviews software, version 9 and using the logistic model. The results of the research show that the characteristics of the board of directors have a significant effect on the company's illegal actions.
