شخص حقوقي،‏ چون داراي وجود اعتباري است تنها مي تواند بوسيله شخص حقيقي،‏ كه مدير ناميده مي شود،‏ عمل كندو حقي را استيفا ،‏ يا تعهدي را ايفا نمايد. البته وظيفه هر مديري است كه به گونه اي عمل نمايد تا به بهترين وجه ممكن منافع شركت تامين گردد،‏ اما با اين وجود،‏ ممكن است مديري خود را در جايي قرار دهد كه منافع شخصي اويا بستگانش ويا تعهدي كه به ديگران دارد با تعهدات او نسبت به شركتي كه مديريت آ ن را به عهده گرفته است،‏ معارض شود: مثلآ ممكن است مدير از شركت وام دريافت نمايد يا شركت ضامن پرداخت وامي گردد كه ديگران به مدير پرداخت كرده اند يا ممكن است از اطلاعات و فرصت تجاري شركت به نفع شخص خود استفاده نموده يا به رقابت با شركت بپردازد،‏ يا در معاملات غبطه و منافع شركت را رعايت ننمايد. در اين مقاله سعي بر آن شده تا ضمانت اجرا و پيامدهاي حقوقي چنين معامله اي مورد بررسي قرار گيرد.

Acompany, because it is artificial entity, can only act by and through natural person who is called the director of company.It is, of course, the duty of the director to act so as best to promote the interests of corporation but, in spite of this, may be a director place himself or herself in a position, in which there is a conflict between his or her duties to the company; and his or her personal interests or duties to others as for instance a director may receive a loan from the company or it may inter in to any guarantee of providing any security in connection with a loan made by any person to the director or he or she may misuse of commercial information or opportunity of the company or may be interested in a contract with it or may carries business competing with that of the company. In this Article the legal sanction and consequence of such transaction has been considered.
