انحلال و تعديل قرارداد عدم رقابت (مطالعه تطبيقي در حقوق ايران، آمريكا و كشورهاي اتحاديه اروپا)

Dissolution and Modification of Noncompetition Agreement:Comparative Study in Iran, U.S. and E.U.Countriesʹʹs Law

قرارداد عدم رقابت به‌مثابه يك ابزار حمايتي از پاره‌اي منافع مشروع، داراي ابعاد خاصي است كه كم‌تر در حقوق ايران مورد اعتنا و تحليل بوده است. اين مقاله مي‌كوشد تا در يك مطالعه تطبيقي و توجه به موازين خاص حقوق آمريكا و كشورهاي اروپايي، ضمن به دست دادن مفهومي از اين قرارداد، جنبه‌هاي خاص انحلال اين قرارداد را مورد بررسي قرار داده، به تبيين اصول ويژه تعديل آن بپردازد. تحليل‌ها و نتايج حاصل، گذشته از آن‌كه موضع ايستا و سنتي حقوق ايران در اين عرصه را به چالش كشيده و ضرورت بازنگري در قواعد موجود را آشكار مي‌سازند، الگو و راهكارهايي براي مواجهه با مقولات انحلال و تعديل قرارداد عدم رقابت براي حقوق ايران ارايه مي‌دهند.

Non-competition agreement as a protective tool for certain legitimate interests has special aspects, which have not been attended and analyzed in Iranian law. This paper, regarding the particular rules of American and European countries in this framework, provides a brief notion of the ongoing non-competition agreement is going to bring up detailed issues on its dissolution and clarify the principles on modification of non-competition agreement. The arguments and results of this article not only challenge the inflexible and traditional rules of Iranian law on this subject and make clear the necessity of revising in them, but also provide some patterns and solutions in confront of dissolving and adjusting of non-competition agreement for law.
