مفهوم و مسووليت مدير سايه در حقوق شركت‌هاي تجاري(مطالعه تطبيقي در حقوق انگليس و ايران)

The Concept and Liability of Shadow Director in the Companies Law (Comparative Study in English and Iranian Law)

مديران شركت‌هاي تجاري اشخاصي هستند كه براي اداره امور شركت انتخاب مي‌شوند؛ اما هميشه مديران منتخب در امور شركت اعمال مديريت نمي كنند، بلكه اشخاصي از پشت صحنه شركت را مديريت مي كنند كه بدان‌ها مدير سايه گفته مي شود. با توجه به آثار سو مديريت سايه در حقوق شركت‌ها لازم است كه مفهوم آن روشن و معيارهاي شناسايي آن در راستاي اعمال ضمانت اجرا ارايه شود. با بررسي معيارهاي شناسايي و ضمانت اجراي اعمال مديريت سايه در حقوق انگليس و ايران، نتايج ذيل حاصل شده است: مدير سايه شخصي است كه براي رهايي از مسووليت، شركت را از پشت صحنه مديريت مي‌كند و در صورتي به‌عنوان مدير سايه شناسايي مي شود كه بر اكثر اعضاي هيات مديره كنترل مستمر داشته باشد. مدير سايه در حقوق انگليس به‌عنوان مدير شركت محسوب مي شود و ملزم به رعايت وظايف مديران است و در صورت تخلف از وظايف، مسوول واقع مي شود، در صورتي كه از مزاياي مديريت برخوردار نيست. مدير سايه در حقوق ايران به موجب قواعد عام مسووليت مدني، مسوول واقع نمي-شود.

Directors of companies are elected to manage the companies but elected directors of the companies do not direct always, rather the parties direct the company from the behind of the direction scenes; they are shadow directors. With the review of identification criteria and sanctions of shadow director in the England and Iranian law, the following results have been obtained: a) Shadow director is a person who directs the company from the behind of the direction scenes; b) Shadow director must be continuously controlled on the majority of board members; c) Shadow director in the English law is the director of company; d) In case of violation of the obligations and duties of directors, the shadow director is responsible while he/she is not obtaining benefits of direction; and e) shadow director is not responsible in the rule of liability in the Iranian Law.
