دوره‏ي ماموريت مديران و مدير عامل شركت هاي سهامي برخلاف ديگر شركت هاي تجاري مقيد به زمان مي باشد. با اين حال به دليل تفاوت در جايگاه حقوقي هر يك، آثار اعمال هر يك پس از پايان دوره‏ي ماموريت يكسان نيست. به علاوه، در مورد اعتبار اعمال مديران پس از پايان ماموريت نيز اختلاف نظر وجود دارد. مطابق يك ديدگاه، با انقضاي دوره‏ي ماموريت مديران، هيچ خللي بر اختيارات و وظايف آنان وارد نمي‏شود در حالي كه ديدگاه مقابل، صلاحيت مديران پس از پايان مدت مزبور را محدود به امور روزمره و غير تعهد آور مي داند.
