نگاهي بر تجارب جهاني در بهبود محيط كسب‌وكار از طريق اصلاح سيستم قضايي با تأكيد بر مؤلفه تضمين قراردادها

Countries Experiences on Improvement of Business Environment by judiciary Reform: Emphasis on Elements of Contract Guarantee

محيط كسب­ و كار به مجموعه ­اي از سياست ­ها، شرايط حقوقي، نهادي و مقرراتي اطلاق مي­شود كه فعاليت ­هاي بنگاه­هاي اقتصادي را تحت تأثير قرار مي ­دهد، در حالي­كه مديران بنگاه ­ها قادر به تأثيرگذاري چنداني بر اين عوامل نيستند. عملكرد نظام قضائي در كارايي اقتصادي و در حمايت از حقوق مالكيت، تضمين اجراي قراردادها،‌ حمايت از سهامداران خرد و انحلال و ورشكستگي يك بنگاه نقش دارد. ضعف اين نظام، نااطميناني در بين بخش خصوصي و فعالان اقتصادي را افزايش داده و آن‌ها را از سرمايه­ گذاري و مشاركت در اقتصاد دل سرد مي­كند. اين مطالعه به روش كتابخانه­ اي و با بهره­ گيري از گزارشات سال 2015 و 2016 بانك جهاني در پروژه انجام كسب ­و كار، ضمن تشريح اهميت و نقش نظام قضائي در محيط كسب ­و كار، به بررسي اقدامات و اصلاحاتي كه در برخي از كشورهاي دنيا در جهت افزايش كيفيت و كارايي نظام قضائي با هدف بهبود شاخص اجراي قراردادها انجام شده است مي‌پردازد. نتايج اين بررسي نشان مي­دهد اقداماتي نظير ايجاد دادگاه­ هاي ويژه امور تجاري، و فراهم آوردن دادرسي الكترونيكي، حل­ وفصل دعاوي تجاري را ساده ­تر، سريع­تر و ارزان­تر كرده و موجب افزايش كارايي دادگاه­ ها مي­ شود، اين امر تأثيري مستقيم بر ارتقاي كيفيت و كارايي اجراي قراردادها دارد

The business environment refers to a set of policies, legal, institutional and regulatory terms that affects the economic activities of enterprises, while the enterprise managers are not able to influence much on these factors. The judiciary operation has a role in economic efficiency and the protection of property rights, guarantee the performance of contracts, protection of micro shareholders, liquidation, and bankruptcy of a firm. The weakness of this system increases uncertainty in the private sector and economic activity and discourages them from investing and participating in the economy stems. This study by using the World Bank reports on Doing Business project (Doing Business) explains the importance of the judiciary in the business environment and studies the judicial proceedings and reforms in some countries in order to increase the quality and efficiency of the judicial system with the aim of improving contract enforcement. The results show that operations such as creation of special business courts, and providing electronic hearing can resolve commercial disputes more easily, fast, and cheaply and increase the efficiency of the courts.
