موضوع شركت هاي مادر و تابعه، به دليل نقش آنها در عرصه تجاري-اقتصادي، همواره از مسائل بحث برانگيز محافل حقوقي بوده است. از جمله ابهاماتي كه در اين مورد قابليت تحقيق و بررسي دارد، مسئله تاثير يا عدم تاثير ورشكستگي اين دو شركت بر يكديگر است. در اين زمينه، اصل استقلال مالي اين دو شركت به دليل شخصيت حقوقي مستقل آنها از يك سو و روابط مالي و مديريتي بين آنها از سوي يكديگر، بايد مورد توجه قرار گيرد. در اين پژوهش، سعي شده است با بررسي روابط و مسئوليت هاي بين اين دو شركت در طول حياتشان، به ارائه پاسخي روشن در اين خصوص دست يابيم. ماحصل پژوهش حاكي از تاثير ورشكستگي شركت مادر بر تابعه و ورود آن به وادي انحلال در عمل و مسئوليت احتمالي شركت مادر در فرض ورشكستگي شركت تابعه است.

The topic of multinational corporations، because of the role these Corporations in trade-economic field، always has been from the controversial issues of legal circles. Nowadays، these corporations in the field of international trade، because of impression of international economic are very important and in addition، with activity around the world، also affect on internal trade of countries. Because of the prominent role that parent and subsidiary corporations، as the two main sides، have in the range of multinational corporations and their life and deterioration affect on the future trading of these corporations، the authors is trying to with the initiative view، pay to study the relationships and responsibilities between this two corporation in their lifetime until finally، the effect of the bankruptcy of each of them on continuation of others life or the responsibility that following the bankruptcy، is created for other corporation، to be revealed.
