Legal Status of the Terms of Take-or-Pay in Long-Term Gas Sale Contracts

نفت و گاز طبيعي يكي از مهمترين منابع تأمين انرژي بشر است. ازاين رو در معاملات تجاري و اقتصادي بين المللي اهميت راهبردي دارد و با توجه به اهميت اين دو منبع انرژي، ازجمله سياستهاي اساسي كشورهاي مصرف كننده، تأمين مطمئن انرژي و ايجاد امنيت عرضه است. امنيت عرضه، مستلزم بازار باثبات و مطمئني است كه انرژي را با قيمت مناسب براي مصرف كنندگان تأمين كند. بخصوص امنيت عرضه گاز به دليل شرايط طبيعي آن، يكي از اهدافي است كه خريداران گاز بايد به آن توجه ويژه اي داشته باشند. متقابلاً فروشنده گاز با توجه به هزينه هاي هنگفتي كه براي استخراج و انتقال گاز صرف مي نمايد، بايد به بازار تقاضا و سود حاصل از فروش، اطمينان يابد. مقاله پيش رو، به بررسي يكي از راهكارهايي پرداخته است كه در قراردادهاي فروش گاز به منظور حصول اطمينان دو جانبة خريدار و فروشنده از ميزان عرضه و تقاضا گنجانده ميشود. همچنين با معرفي شرط تحويل يا پرداخت، به عنوان يكي از شروط منعطف كننده قرارداد گاز، به بررسي اين شرط از منظر حقوق كشورهاي مختلف مي پردازد و در نهايت، نه تنها جهت درج اين شرط در قراردادهاي فروش گاز، ممنوعيتي نمي يابد، بلكه آن را طبق قواعد حقوقي حاكم، لازم الاجرا مي داند.

Since oil and natural gas are the most important sources of energy, they are strategically crucial for international trade and economic transactions. For this purpose, consumer countries strive to secure the supplement of oil and gas. This requires a stable market, capable of providing energy at a reasonable price. Given the natural characteristics and conditions of gas, such as the difficulties for its storage, more importance should be attached to the supplement of gas, hence, gas sellers always need to be assured about the demand and profit in the market. This article examines one of the clauses employed in gas sale contracts so that the buyers and sellers can both make sure about the demand and supply rates in the market. It also defines the take-or-pay clause as a mechanism that can make gas contracts flexible and studies this clause from the perspective of the legal systems in different countries, especially in Iran. It eventually concludes that there is no prohibition in Iranian legal system for incorporation of take-or-pay clause in gas sale contracts. In contrast, the usage of this clause is permissive under the Iranian positive law and will remain binding for the parties.
