Boards of directors have an important role in the success of companies, and the board has a key role in determining the job responsibilities of the company and in appointing and evaluating its CEO or general manager. These councils have specific tasks set by the bodies regulating the work of these companies. Perhaps the most important of these tasks is defining the powers of the executive management in the company, evaluating its performance, setting a risk management policy, in addition to securing a policy regulating the relationship with stakeholders with interests. The efficiency of the board of directors is linked to multiple factors, and these factors have a role in influencing the performance of companies. A number of researchers were interested in studying several factors related to boards of directors and their impact on the performance of companies. Among these factors is the diversity of board members, which has received research interest, especially in Western and East Asian countries. Therefore, the current study aims to test the impact of the diversity of board members on the financial performance of banks and companies. The insurance companies listed on the Amman Stock Exchange are (15) banks and (23) insurance companies. The study period included the year (2010) until the year (2015). The descriptive results showed that the representation of women and PhD holders among the members of the board of directors is weak and low, while there is an acceptable representation of foreign members and members of master's holders. In the same context, and after a comparison between the regression model (OLS) and the random effects model (RME), the study concluded that there is no effect of gender diversity, nationality diversity and educational qualifications diversity among board members on either the return on assets or the return on shareholders' equity.
